We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to affected clients.

Client Responsibilities

As a client, you agree to:

• -Respond to requests for feedback and approvals in a timely manner
• -Provide necessary access to systems, accounts, and resources as needed
• -Comply with all applicable laws and regulations in your use of our services
• -Ensure that any content or materials you provide do not infringe on third-party rights

Payment Terms

• -Payment terms are specified in individual project contracts or statements of work.
• -Invoices are due upon receipt unless otherwise specified in the contract.
• -Late payments may be subject to a late fee of 1.5% per month on the outstanding balance.
• -We accept payment via credit card, ACH transfer, and electronic check through our secure payment portal.
• -We reserve the right to suspend services for overdue payments exceeding 30 days.

Intellectual Property

• -Upon full payment, clients receive ownership of custom code and deliverables created specifically for their project, unless otherwise specified in the contract.
• -We retain ownership of proprietary tools, frameworks, templates, and methodologies developed independently or prior to the engagement.
• -Third-party software, libraries, and tools used in projects are subject to their respective licenses.
• -All website content, design, and branding on clove-hitch-consulting.io remain the property of Clove Hitch Consulting LLC.

Limitation of Liability

To the fullest extent permitted by law, Clove Hitch Consulting LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim arising out of or related to our services shall not exceed the total amount paid by you for the specific services giving rise to the claim.

Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts located in King County, Washington.

Dispute Resolution

In the event of a dispute arising from these terms or our services, we encourage the parties to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue mediation before resorting to litigation.

Any mediation shall be conducted in Seattle, Washington, under the rules of the American Arbitration Association.

We reserve the right to update or modify these Terms & Conditions at any time. Changes will be effective when posted on this page with an updated "Last updated" date. Your continued use of our website or services after changes are posted constitutes acceptance of the revised terms. We will make reasonable efforts to notify active clients of material changes.
